The agreement governing your use of the Horizon platform.
By accessing or using the Horizon platform and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Services.
Horizon provides a cloud-based operations platform for consumer packaged goods (CPG) brands, including tools for inventory management, production planning, sales tracking, financial reporting, and third-party integrations. Features and availability may vary by subscription plan.
Subject to your compliance with these Terms and payment of applicable fees, Horizon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the subscription term.
This license does not include the right to sublicense, resell, or make the Services available to third parties, or to copy, modify, or create derivative works of the Services.
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access at cody.streger@horizon-cpg.com.
You retain full ownership of all business data you enter into the platform ("Customer Data"). By using the Services, you grant Horizon a limited license to store, process, and transmit your Customer Data solely to provide the Services.
We do not sell, rent, or share your Customer Data with third parties except as necessary to operate the Services (such as our hosting and storage providers) or as required by law.
Upon termination of your account, we will provide you a reasonable opportunity to export your data before deletion, which will occur within 90 days.
The Services may integrate with third-party platforms including QuickBooks, Shopify, and others. Your use of those integrations is subject to the terms and privacy policies of the respective third parties. Horizon is not responsible for the availability, accuracy, or practices of third-party services.
By connecting a third-party account (such as QuickBooks), you authorize Horizon to access and sync data from that account as required to provide the integration functionality you have enabled.

Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as required by law or as explicitly stated in your order.
We reserve the right to change pricing with 30 days' advance notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.
Failure to pay may result in suspension or termination of your account.
These Terms begin when you create an account and continue until terminated. Either party may terminate for any reason with 30 days' written notice. Horizon may suspend or terminate your account immediately if you breach these Terms or fail to pay fees.
Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including data, payment, and liability provisions) will continue to apply.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HORIZON DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HORIZON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF HORIZON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
HORIZON'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO HORIZON IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold Horizon harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Florida, and you consent to personal jurisdiction in those courts.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the platform. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
